Course Description

This course aims to convey to students a good knowledge and understanding of the key corporate finance and management issues in company law. The course will provide you with the skills needed to analyze the theory and statutory structure of the key corporate finance and management issues in company law and allow you to apply those skills in practice through critical assessment of literature and the jurisprudence of the United Kingdom courts. During the course we will examine share capital, class rights and certain key legal issues surrounding the funding of the company. You will gain awareness of the methods by which companies raise capital and the regulatory effects of capital raising. We will also cover the central legal issues surrounding the separation of ownership from control and an overview of the liquidation process. The course also encourages debate and critical analysis around who should own and control companies, assessing issues of managerial accountability and the responses to those debates.

The Course Is Composed of 4 Modules

Module A: Capital I;
Module B: Capital II;
Module C: Corporate Management I;
Module D: Corporate Management II.

About Module A ‘CAPITAL I’

The main focus of module A will be on the doctrine of maintenance of capital and on the nature of share. As for the maintenance of capital, lights shall be shed on the different types of contributions made by shareholders, add to this the concepts of reduction of capital and the financial assistance. The remaining part of this module shall tackle the nature of share and the different various rights attached to it and different modalities according to which those rights might be varied.

We will provide you with required study guides written by eminent UoL professors and leaders in the field, in addition to up to date reading materials, including articles and case laws. Students registered in the LLM program will receive additional textbooks and will be assisted with additional sessions focusing on past UoL-LLM examinations.
